Terms of Service — Countdown

1. License

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on Apple devices that you own or control, for your personal, non-commercial use, subject to these Terms and to Apple’s standard End User License Agreement for Licensed Application End Users (the “Apple EULA”), available at apple.com/legal/internet-services/itunes/dev/stdeula.

2. In-app purchases

The App offers an optional one-time in-app purchase (“Countdown Extended” / “Full version”) that unlocks additional difficulty modes and features. The purchase is non-consumable, has no recurring charges, and is restored automatically on devices signed into the same Apple ID via the “Restore Purchases” function in the App.

All purchases are processed by Apple through the App Store. Pricing, billing, refunds, and family sharing are governed by your agreement with Apple and by Apple’s App Store policies. Refund requests should be addressed to Apple via reportaproblem.apple.com.

3. Acceptable use

You agree not to:

• reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent permitted by applicable law;
• modify, adapt, translate, or create derivative works of the App;
• remove or alter any proprietary notices or labels on the App;
• use the App in any way that violates applicable law or infringes the rights of others;
• attempt to circumvent technical measures used to protect or license the App, including the in-app purchase mechanism.

4. Intellectual property

The App, including its source code, design, graphics, and content, is owned by Joachim Dorel / Abaxos and is protected by copyright and other intellectual-property laws. The “Countdown” name in the App refers to the gameplay format inspired by the numbers round of the television programme of the same name; we do not claim ownership of that programme or its trademarks.

5. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JOACHIM DOREL / ABAXOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

7. Apple-specific terms

You acknowledge that these Terms are concluded between you and us only, and not with Apple. We, not Apple, are solely responsible for the App and its content. Apple has no obligation to provide maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

8. Termination

These Terms remain in effect until terminated by you or by us. You may terminate them at any time by deleting the App from your device. We may terminate or suspend your right to use the App at any time without notice if you breach these Terms. Provisions that by their nature should survive termination (including Sections 4–6 and 9) will survive.

9. Governing law

These Terms are governed by the laws of France, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the competent courts of Paris, France, except where mandatory consumer-protection law gives you the right to bring proceedings in your country of residence.

10. Changes

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the App after a change constitutes acceptance of the updated Terms.
